Arthnirman is one brand. Its services are offered by two legal persons, Deven Jaiprakash Shah and Arthnirman Financial Services LLP, and each registration belongs only to its holder.
Nature of Services and Entity Disclosure
Arthnirman is a common brand through which services may be offered by Deven Jaiprakash Shah in his individual capacity and/or Arthnirman Financial Services LLP, depending on the nature of the service and the specific engagement.
Services that may lawfully be undertaken by either entity can be provided by the entity appropriate to the engagement. The person or entity undertaking a particular engagement will be identified in the relevant proposal, engagement letter, agreement, invoice or other applicable documentation.
Services that are subject to registration, licensing, authorisation or other regulatory requirements will be undertaken only in the relevant legal capacity and in accordance with the applicable requirements.
Registrations, memberships, qualifications and authorisations held by one person or entity must not be construed as being held by the other. The scope and terms of each service will be governed by the applicable engagement documentation.

Registration as a Mutual Fund Distributor should not be construed as registration with SEBI as an Investment Adviser. Any product-related communication and activity will be subject to applicable regulatory requirements.
Portfolio Management Services (PMS) Distribution
APMI-registered PMS Distributor — APRN: APRN00862.
Arthnirman facilitates access to Portfolio Management Services offered by the relevant portfolio management service providers, within the scope permitted by applicable requirements. The portfolio manager’s mandate, investment approach, eligibility criteria, fees, risks and other terms are governed by the relevant provider’s documentation.
PMS involves investment risk, including the possible loss of capital. Registration as a PMS Distributor does not make the distributor the portfolio manager and does not guarantee investment performance.
AIFs, Bonds and Debentures, and Unlisted Shares
Alternative Investment Funds (AIFs)
Arthnirman facilitates access to Alternative Investment Funds within the scope of the applicable regulatory framework and the relevant engagement.
AIFs may involve substantial investment risk, limited liquidity, long investment horizons, complex structures and restrictions on transfers or withdrawals. Eligibility, minimum investment requirements, fees, strategy, risk factors and other terms vary by fund and are governed by the applicable fund documents.
Prospective investors should review the relevant private placement memorandum and other applicable documents and consider the risks and restrictions before making a commitment.
Bonds and Debentures
Bonds and debentures differ in their terms, credit quality, security, tenure, liquidity and repayment structure. Returns and repayment are subject to the terms of the instrument and the issuer’s ability to meet its obligations. The presence of a security, rating or stated coupon does not eliminate investment risk.
The role undertaken by Arthnirman in relation to a particular instrument or transaction will depend on the engagement and the applicable requirements. Prospective investors should review the relevant offer documents, terms and risk factors before proceeding.
Unlisted Shares
Unlisted shares may involve limited liquidity, restricted transferability, limited public information, uncertain valuation and difficulty in identifying a buyer or exit opportunity. There may be no readily available market price, and the value realised on a sale may differ materially from an indicative or estimated value.
The role undertaken by Arthnirman in relation to a particular transaction will be determined by the specific engagement and applicable requirements. Prospective participants should independently review the available information, transaction terms and associated risks.
Loan Syndication and Business Finance
Arthnirman assists with financing requirements through activities such as understanding the requirement, coordinating documentation and facilitating engagement with potential lenders, as applicable to the engagement.
Any lending decision is made independently by the relevant lender, subject to its assessment, due diligence, credit policy, documentation and applicable requirements. No assurance or guarantee is given regarding the sanction, amount, interest rate, tenure, security requirements, disbursement or continuation of any facility.
Fees, commissions or referral arrangements, where applicable, will be addressed in the relevant engagement documentation or other applicable disclosures.
Estate and Succession Planning
Estate and succession-related services may include information gathering, organisation of asset and family information, succession-related coordination, documentation support and coordination with relevant legal, tax or other professionals, depending on the scope of the engagement.
The legal effect and enforceability of a Will, trust, transfer or other succession arrangement depend on the applicable law, the facts, the documentation and the manner in which the arrangement is executed and administered. Where specialist legal services are required, these will be undertaken by appropriately qualified professionals in accordance with the applicable requirements.
The scope of each engagement and the respective responsibilities of the professionals involved should be recorded in the relevant documentation.
Tax Advisory and Tax Research
Tax-related services may include research on specific tax matters, analysis of relevant provisions, examination of available facts and documents, and advisory support within the scope of the engagement.
Tax conclusions may depend on the facts presented, the assumptions adopted, the relevant assessment period, the applicable law and its interpretation.
